1. Introduction
Welcome to Net Zero One ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our sustainability consultancy services and website. By engaging our services or using our website, you agree to be bound by these Terms.
2. Services
Net Zero One provides virtual sustainability consultancy services including but not limited to:
Environmental, Social, and Governance (ESG) reporting
Sustainability auditing services
Net zero strategy development
NHS suppliers reporting and compliance
Carbon reduction planning
3. Service Agreement
Specific terms for each engagement will be outlined in a separate Service Agreement or Statement of Work. In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for that specific engagement.
4. Payment Terms
Payment terms will be specified in individual Service Agreements
All fees are exclusive of applicable taxes unless stated otherwise
Late payments may incur interest charges at a rate of 1.5% per month
We reserve the right to suspend services for overdue payments
5. Intellectual Property
All methodologies, frameworks, templates, and proprietary materials developed by Net Zero One remain our intellectual property. Client-specific deliverables become the property of the client upon full payment, subject to our right to retain copies for our records and quality assurance purposes.
6. Confidentiality
We maintain strict confidentiality regarding all client information and data. We will not disclose confidential information to third parties without explicit written consent, except as required by law or regulation.
7. Limitation of Liability
Our liability is limited to the fees paid for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, or punitive damages. This limitation does not apply to cases of gross negligence or willful misconduct.
8. Professional Standards
We adhere to the highest professional standards and industry best practices. Our services are provided based on current knowledge, standards, and regulations at the time of service delivery.
9. Termination
Either party may terminate an engagement with written notice as specified in the relevant Service Agreement. Upon termination, payment will be due for all services completed and expenses incurred up to the termination date.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of our services after changes constitutes acceptance of the modified Terms.
